As the M&A Manager at Exact, you will be instrumental to Exact’s M&A activities. You will work closely with the Director M&A, Principal M&A, executive board members and representatives of Exact’s shareholders. In an entrepreneurial setting, you will have significant exposure to all decision makers and will be at the frontline helping shape Exact’s strategic future.

You will join the Director and Principal in the M&A team and will work closely with other stakeholders which includes Strategy, Integration, Product, Tech teams. Asking for help if necessary and offering help if possible is part of their DNA. We have few predefined paths, which gives you plenty of room to choose your own. 

The M&A department act as an internal ‘bulge bracket’ M&A advisor and is known for its professionalism and knowledge. This is particularly evident in successfully closing 5 transaction in the last 12 months, including the largest (Unit4) in recent history.

The main responsibilities of the department
Together with the rest of the M&A team, you are expected to perform a central role in the various stages of an M&A transaction, which includes;
  • Developing the M&A strategy with the Exco and strategy team;
  • Sourcing opportunities by building relationships with key stakeholders;
  • Preparing the non-binding offer;
  • Running the due diligence and SPA;
  • Ensuring effective transition into the integration phase with the integration team.

With us, you can be yourself, and we would love to discover what sets you apart. For the position of M&A Manager, it’s helpful if you have good communitive skills and like team work. What’s more, you bring:
  • An academic background in engineering, economics, finance, business administration or law;
  • 8 to 10 years’ experience in M&A activities as a VP at a leading M&A advisory organization; including investment banking, strategy consultancy, corporate M&A, Private Equity or Venture Capital
  • An all-round M&A skill-set including experience of deal-sourcing, pipelines development, corporate finance, valuation, due diligence (incl. financial, tax, legal) and M&A documentation (incl. SPA);
  • Affinity with the software / tech industry and are willing to listen and learn our business
  • Experience in operating in a high-growth environment and / or experience working in environment of change;
  • Solid analytical skills, combined with structured and pro-active personality, and the ability to drive initiatives;
  • Positiveness with a forward-looking mindset and “can-do” attitude;
  • Fluency in both Dutch and English, spoken and written.

If we have enough in common, there will first be a telephone intake with the Senior Talent Acquisition Business Partner. The second step is an interview with the Director M&A and another MT Member. A screening and/or analytical test may be part of the selection process. The last interview will be with our CFO. The selection procedure takes about three weeks.
